Terms of Service

By accessing or using the Albireo AI platform, website, and any related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services. The Services are provided by Albireo AI LLC ("Albireo AI," "we," "us," or "our"), a company specializing in AI-powered telecom infrastructure intelligence.

Albireo AI provides an AI-native platform that transforms how telecom infrastructure is searched, understood, engineered, managed, and monetized. Our Services include infrastructure data analysis, digital twin modeling, AI-assisted engineering recommendations, and related analytics tools. We may modify, suspend, or discontinue any aspect of the Services at any time without prior notice.

You must be at least 18 years of age and have the legal authority to enter into binding agreements to use the Services. If you are accessing the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. You are responsible for maintaining the confidentiality of any account credentials and for all activities that occur under your account.

You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable law or regulation.
• Attempt to gain unauthorized access to any part of the Services, other accounts, or computer systems or networks connected to the Services.
• Interfere with or disrupt the Services, including introducing viruses, malware, or other harmful code.
• Reverse engineer, decompile, or otherwise attempt to extract source code from the platform.
• Use the Services to process or transmit content that infringes on the intellectual property rights of others.
• Resell, sublicense, or redistribute access to the Services without our prior written consent.

You retain all right, title, and interest in any data you submit to the Services ("Customer Data"). You grant Albireo AI a non-exclusive, worldwide license to use, process, and store your Customer Data solely as necessary to provide and improve the Services. You represent that you have all necessary rights to submit your Customer Data and that it does not violate any third-party rights.

All intellectual property rights in the Services, including the Albireo AI platform, Albie AI, our digital twin technology, software, algorithms, branding, and content, are owned by Albireo AI or its licensors. These Terms do not grant you any right to use our trademarks, logos, or other proprietary identifiers except as expressly authorized in writing.

The Services may produce outputs, recommendations, and analyses generated by artificial intelligence, including our Albie AI assistant. These outputs are provided for informational and decision-support purposes only and should not be relied upon as the sole basis for engineering, safety, or business decisions. You are responsible for independently verifying all AI-generated outputs before acting on them. Albireo AI does not guarantee the accuracy, completeness, or reliability of AI-generated content.

Certain features of the Services may require a paid subscription. Fees, billing cycles, and payment terms will be specified at the time of subscription. Unless otherwise stated, all fees are non-refundable. We may change our fees upon reasonable notice. Any price changes will take effect at the start of the next billing cycle.

"Confidential Information" means any non-public information disclosed by either party that is designated as confidential or that should reasonably be understood as confidential, including Customer Data, business plans, technical information, and pricing. Each party agrees to protect the other's Confidential Information with the same degree of care it uses for its own confidential information, and to use it solely for the purpose of performing under these Terms.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. ALBIREO AI DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY AI-GENERATED OUTPUT WILL BE ACCURATE OR RELIABLE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ALBIREO AI, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

You agree to indemnify and hold harmless Albireo AI and its affiliates from and against any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your use of the Services, your violation of these Terms, or your infringement of any third-party rights.

You may stop using the Services at any time. We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination, all licenses granted to you under these Terms will immediately cease. Provisions that by their nature should survive termination shall remain in effect, including sections on intellectual property, disclaimers, limitation of liability, and indemnification.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any dispute arising from or relating to these Terms or the Services shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within thirty (30) days, it shall be submitted to binding arbitration administered by the American Arbitration Association in Wilmington, Delaware.

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Services after any changes constitutes acceptance of the revised Terms.
